1. Agreement
By accessing or using websites, portals, or software operated by or on behalf of Novaqis Technologies ("Novaqis," "we," "us"), you agree to these terms. If you are using Novaqis on behalf of an organization, you represent that you have authority to bind that organization.
2. Services
Novaqis provides a regulated-operations platform and related professional services as described in your order form, statement of work, or license agreement. Features available to you depend on your subscription, deployment model, and entitlements.
3. Acceptable use
You agree not to misuse the services—for example, by attempting unauthorized access, interfering with security controls, or using the services in violation of applicable law. We may suspend access where necessary to protect the platform or other customers.
4. Intellectual property
Novaqis retains rights in its software, branding, and documentation. Unless otherwise agreed in writing, we grant you a limited, non-exclusive license to use the services according to your contract—not to reverse engineer, resell, or redistribute the platform except as permitted.
5. Confidentiality & data
Each party may receive confidential information from the other. Use and protection of customer data, personal data, and regulated content are governed by your data processing agreement, privacy policy, and applicable regulations (e.g. GDPR where relevant).
6. Warranties & disclaimer
Except as expressly stated in your agreement, services are provided "as is." To the maximum extent permitted by law, we disclaim implied warranties. Your exclusive remedies are those set out in your governing contract.
7. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect or consequential damages. Aggregate liability is typically capped as in your master agreement—insert your negotiated cap here.
8. Changes
We may update these terms for the public website or standard terms for new customers. Material changes to enterprise agreements should follow the change-control process in your contract.
